1. The Agreement
By engaging Kolchi In One ("KIO", "we", "us") for any of our services including CRM Development, AI Automation, Website Creation, or Social Media Management, you ("Client", "you") agree to be bound by these Terms & Conditions. We believe in building transparent, no-BS relationships, and these terms outline exactly how we work together.
2. Process & Payments
We do not begin any project without clear alignment and financial commitment. Our standard billing process is as follows:
- The Deposit: A 50% upfront deposit is required before any development, design, or strategy work begins to lock in your spot.
- The Final Invoice: The remaining 50% is due upon project completion, prior to the final handover of assets, source code, or live deployment.
- Transparent Pricing: The price agreed upon in the contract is the price you pay. There are no hidden fees or surprise charges.
3. Ownership & Hosting Infrastructure
To ensure maximum performance, security, and reliability, custom CRM systems and AI automation workflows built by KIO are hosted on our secure private servers.
- Your Data is Yours: You retain 100% ownership of your client data, leads, contacts, and proprietary business information. You can request an export of this data at any time.
- The Infrastructure: KIO retains ownership of the underlying code, automation scripts, and server infrastructure. We provide access to these systems as a managed software service.
- Websites & Branding: Unlike CRMs, for custom WordPress websites and branding assets, full ownership is transferred to you upon final payment of the build.
4. Managed Hosting & Maintenance
For powerful systems hosted on our infrastructure (such as your custom CRM and n8n automations), we charge a flat monthly managed hosting and maintenance fee (as defined in your contract).
- What it Covers: Premium VPS server costs, security patches, API uptime monitoring, and ensuring your automations keep running smoothly while you sleep.
- Non-Payment & Suspension: Monthly invoices are strictly enforced. If a payment is missed, we provide a 7-day grace period. If the invoice remains unpaid, KIO reserves the right to temporarily suspend your access to the CRM and pause automation workflows until the balance is cleared.
- Cancellation: You can cancel your managed hosting at any time with 30 days' notice. Upon cancellation, we will provide a full export of your leads and data (CSV format) before shutting down the instance.
5. Project Scope & Revisions
Every project follows the "Blueprint" mapped out during our Strategy Call. Once the blueprint is approved and the build begins:
Any requests outside the original scope of the agreed blueprint will be quoted as separate tasks. We provide regular updates during the build phase to ensure we remain aligned with your vision, but structural changes post-approval may incur additional costs and alter timelines.
6. Warranties & Liability
We build high-performance, custom solutions designed to run smoothly. However, the digital landscape changes rapidly:
- We cannot guarantee the policies or uptime of third-party platforms we integrate with (e.g., Meta/Facebook API, WhatsApp, WordPress core updates).
- KIO is not liable for any lost profits, lost leads, or damages resulting from third-party API changes, server downtime not managed by us, or user error.
7. Termination
Either party may terminate the agreement with written notice if the other party breaches these terms. If the Client terminates a build project before completion, KIO retains the initial 50% deposit to cover time, resources, and strategy already delivered.
8. Governing Law
These terms are governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Casablanca, Morocco.
